Neura Apex provides AI operating systems and automation services designed for vertical-specific industries. The Service includes but is not limited to software deployment, agent configuration, workflow automation, and related consulting services.
All pricing is provided in U.S. dollars unless otherwise specified. Pricing is subject to change with 30 days' written notice. Payment terms are agreed upon in individual service agreements. Late payments may accrue interest at 1.5% per month or the maximum rate allowed by law.
We retain all rights to the Neura Apex platform, including all code, designs, and methodologies. You retain ownership of your data. Upon completion of services and full payment, you receive a non-exclusive license to use the deployed infrastructure as agreed in your service agreement.
To the fullest extent permitted by law, Neura Apex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Service or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total liability for any claim shall not exceed the amount you paid for the specific service in question.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive to ensure reliable operation, we do not warrant that the Service will be uninterrupted or error-free.
You agree to indemnify and hold harmless Neura Apex from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This includes but is not limited to system designs, customization details, and business processes.
Service agreements are entered into for a specified term as outlined in your individual agreement. Either party may terminate with written notice as specified in the agreement. Upon termination, you remain responsible for all outstanding payments.
You are responsible for maintaining the security of your credentials and protecting your data. We implement industry-standard security measures, but you acknowledge that no system is 100% secure. You assume all risk for loss or damage to your data.
We reserve the right to modify or discontinue the Service at any time with reasonable notice. Changes to core functionality will be communicated to existing clients. We are not liable for any modifications or discontinuance of the Service.
The Service may contain links to third-party websites and services. We are not responsible for the content, accuracy, or practices of external sites. Your use of third-party services is governed by their own terms and conditions.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in the jurisdiction where Neura Apex is headquartered.
For disputes not resolved through good-faith negotiation, the parties agree to submit to binding arbitration administered by the American Arbitration Association. The arbitration shall take place in the United States, and the prevailing party may recover reasonable attorney fees and costs.
These Terms, along with any individual service agreements, constitute the entire agreement between you and Neura Apex regarding the Service and supersede all prior and contemporaneous agreements and understandings.
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
